LEGAL NOTICE: This document constitutes a legally binding agreement between you and Process Work Institute. Please read it carefully before using this website or purchasing any courses or programs. By accessing the site or making a purchase, you agree to be bound by these terms in their entirety.

Terms of Use

PART I — TERMS OF USE

1. Agreement to Terms

These Terms of Use (‘Terms’) govern your access to and use of the website operated by Process Work Institute (‘PWI,’ ‘we,’ ‘our,’ or ‘us’), including all content, functionality, courses, and services offered on or through our website (collectively, the ‘Site’). By accessing or using the Site, you affirm that you are at least 18 years of age, have the legal capacity to enter into a binding contract, and agree to be bound by these Terms and our Privacy Policy incorporated herein by reference.

If you are accessing the Site on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Nature of Services — Adult Professional Education

Process Work Institute is an institution of advanced adult learning specializing in Process Work (also known as Process-Oriented Psychology or Processwork), a depth-oriented, somatic, and relational modality developed by Arnold Mindell, Ph.D. Our programs, workshops, courses, and training materials (‘Programs’) are designed exclusively for adult learners (18+) pursuing personal growth, professional development, or advanced clinical and facilitation competencies.

2.1 Educational Purpose, Not Clinical Treatment

All content, courses, and instructional materials made available through the Site are provided solely for educational and professional training purposes. Nothing on this Site constitutes, nor should it be construed as:

  • Psychotherapy, psychoanalysis, counseling, or any licensed mental health treatment;
  • Medical advice, diagnosis, or treatment of any kind;
  • A substitute for professional consultation with a licensed therapist, physician, or other qualified healthcare provider.

Participation in PWI Programs, including any experiential or somatic exercises, does not constitute a therapeutic or clinical relationship between you and PWI or any of its instructors.

2.2 Experiential Learning Acknowledgment

You acknowledge that Process Work training may involve experiential, somatic, and depth-psychological exercises that can evoke strong emotions, physical sensations, or personal insights. You are responsible for monitoring your own well-being and engaging your own support systems, including licensed mental health professionals, as appropriate. PWI strongly encourages all participants in experiential programs to have access to their own personal therapeutic support.

3. Intellectual Property

3.1 Ownership

All content on the Site — including but not limited to course materials, videos, audio recordings, written curricula, methodologies, frameworks, graphics, trademarks, and the Process Work Institute name and logo — is the exclusive intellectual property of Process Work Institute and/or its licensors and is protected by United States and international copyright, trademark, and trade secret law.

3.2 License to Enrolled Students

Upon enrollment in a Program, PWI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the associated course materials solely for your own personal and professional development. This license does not permit you to:

  • Reproduce, copy, distribute, publicly display, or create derivative works from any course content;
  • Record, screen-capture, or otherwise capture live or asynchronous instructional sessions without prior written consent from PWI;
  • Share, sublicense, sell, or otherwise transfer access credentials or course materials to any third party;
  • Use course materials for commercial purposes, including delivery of your own programs or trainings that substantially replicate PWI curriculum, without a separate written licensing agreement.

3.3 Research & Informational Content

Visitors may access publicly available articles, blog posts, and introductory materials for personal research and educational purposes. Any reproduction or citation of this material must include full attribution to Process Work Institute and a hyperlink to the source page.

4. User Conduct

You agree not to use the Site or any Program in any manner that:

  • Violates any applicable federal, state, local, or international law or regulation;
  • Is harmful, threatening, abusive, harassing, defamatory, obscene, or invasive of another’s privacy;
  • Infringes the intellectual property rights of PWI or any third party;
  • Involves unauthorized access to, or interference with, any part of the Site or its infrastructure;
  • Involves the use of automated systems (bots, scrapers, crawlers) to access the Site without PWI’s express written consent;
  • Involves misrepresentation of your identity, credentials, or affiliation with PWI.

PWI reserves the right to terminate your access to the Site and any enrolled Programs immediately and without prior notice for violation of this section, without refund.

5. Disclaimer of Warranties

THE SITE AND ALL PROGRAMS, CONTENT, AND MATERIALS ARE PROVIDED ON AN ‘AS IS’ AND ‘AS AVAILABLE’ BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

PWI does not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that any specific educational or personal development outcomes will be achieved through participation in any Program. Individual results vary and depend on many factors outside PWI’s control.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PWI, ITS DIRECTORS, OFFICERS, FACULTY, EMPLOYEES, CONTRACTORS, AGENTS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SITE OR ANY PROGRAM, EVEN IF PWI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PWI’s total cumulative liability to you for any claim arising under these Terms or related to any Program shall not exceed the total fees paid by you to PWI in the twelve (12) months immediately preceding the event giving rise to the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless Process Work Institute and its directors, officers, faculty, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any content you submit, post, or transmit through the Site.

8. Third-Party Links and Resources

The Site may contain links to third-party websites, resources, or services that are not owned or controlled by PWI. PWI has no control over and assumes no responsibility for the content, privacy policies, or practices of third-party sites. We encourage you to review the terms and privacy policies of any third-party site you visit.

9. Modifications to the Site and Terms

PWI reserves the right to modify, suspend, or discontinue any aspect of the Site at any time without notice or liability. We also reserve the right to update these Terms at any time. Material changes will be communicated via a notice posted on the Site or by email to enrolled students. Your continued use of the Site following notice of changes constitutes acceptance of the revised Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Site shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, conducted in Portland, Oregon, on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Nothing in this section prevents either party from seeking emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm.

Terms of Sale

PART II — TERMS OF SALE

11. Course and Program Purchases

11.1 Enrollment and Access

Purchase of a course or program on the PWI website constitutes an offer to enroll, which is accepted by PWI upon confirmation of payment. Access to digital course materials will be granted within 24 business hours of confirmed payment unless otherwise specified. Enrollment in live, cohort-based, or intensive programs is subject to seat availability and may require completion of an application or prerequisite review.

11.2 Pricing and Payment

All prices are listed in U.S. dollars and are subject to change without notice prior to your purchase. PWI accepts major credit cards, PayPal, and such other payment methods as may be indicated at checkout. Payment must be made in full at the time of enrollment unless a payment plan option is expressly offered for the relevant Program. You represent that you are authorized to use the payment method provided.

11.3 Taxes

You are responsible for any and all taxes, levies, or duties imposed by your taxing authority in connection with your purchase, except for taxes assessed on PWI’s net income. Where applicable law requires PWI to collect sales or value-added tax, such amounts will be calculated and displayed at checkout.

12. Refund and Cancellation Policy

IMPORTANT: This refund policy applies to all courses and tuition fees that do not include a distinct, course-specific refund policy. Please read carefully before completing your purchase or enrollment.

12.1 Definitions

For purposes of this Section:

  • “Course” refers to the class or course of study the student has applied and been accepted into, or registered and paid for.
  • “Course Enrollment” occurs when a participant signs an enrollment agreement, completes and submits a registration form, commits to payment terms, or completes the purchase of a course.
  • “Course Commencement” is the calendar date on which the course starts. For evergreen or asynchronous courses purchased after the commencement date, the course is considered to have commenced upon the student’s enrollment.

12.2 Method of Withdrawal

A student may withdraw from a course at any time and in any manner — including in writing, by telephone, or in person. PWI encourages withdrawal notices in writing (email is acceptable) to ensure a clear record of the withdrawal date.

12.3 Five-Day Cooling-Off Period

A participant who cancels their enrollment within five (5) calendar days of enrollment will receive a full refund of all money paid. The five-day period begins on the date the student signs the enrollment form, confirms enrollment by email, or completes tuition or course fee payment, whichever occurs first.

12.4 Cancellation Before Course Commencement (After Cooling-Off Period)

After the five (5) day cooling-off period, where the student cancels before the course has commenced, PWI may retain a non-refundable administrative fee of $150, plus a percentage of the remaining tuition or course fee, not to exceed the following:

  • Cancellation more than seven (7) days before commencement: PWI retains 0% of refundable tuition (administrative fee only).
  • Cancellation within seven (7) days of commencement: PWI retains 35% of refundable tuition, plus the $150 administrative fee.
  • Cancellation within two (2) days of commencement: PWI retains 50% of refundable tuition, plus the $150 administrative fee.

12.5 Cancellation After Course Commencement

Where the student cancels after the course has commenced, PWI may retain a non-refundable administrative fee of $150, plus a percentage of the remaining tuition or course fee, not to exceed the following:

  • Student has completed up to and including 25% of the course: PWI retains 65% of refundable tuition.
  • Student has completed between 25% and 50% of the course: PWI retains 75% of refundable tuition.
  • Student has completed more than 50% of the course: PWI is entitled to retain the total course tuition with no refund due.

The percentage of a course completed shall be calculated as the ratio of completed lessons, videos, tutorials, or other media units to the total number of lessons, videos, tutorials, or other media units comprising the course.

12.6 Special Circumstances

In cases of a student’s illness, accident, psychological emergency, death in the immediate family, or other circumstances beyond the student’s reasonable control, Process Work Institute will give special consideration to requests for cancellation or refund beyond the minimums set forth above. Such requests must be submitted in writing and may require reasonable documentation. PWI’s decision in such cases is made at its sole discretion and on a case-by-case basis.

12.7 No Refunds for Access Violations

No refund will be issued under any circumstances where a student’s access has been revoked due to a violation of these Terms or PWI’s Code of Professional Conduct.

13. Continuing Education Credits and Certificates

PWI may offer certificates of completion and, in some cases, continuing education (CE) credits approved by relevant professional bodies. Certificates are issued only upon satisfactory completion of all program requirements as defined in the course syllabus, including attendance thresholds for live programs. PWI makes no guarantee that certificates or CE credits will satisfy requirements of any particular licensing board, regulatory body, or employer, as such determinations are solely within the discretion of the receiving institution.

14. Code of Professional Conduct

Participation in all PWI Programs is subject to PWI’s Code of Professional Conduct (‘Code’), incorporated herein by reference and available on the Site. The Code sets forth expectations for respectful, ethical, and inclusive behavior in all learning environments, including online discussion forums, live sessions, and in-person intensives. PWI reserves the right to remove any participant from a Program without refund for violation of the Code, as determined in PWI’s sole discretion.

Participants in advanced clinical or facilitation training programs may be subject to additional ethical guidelines consistent with the standards of the International Process Work Association (IPWA) and applicable professional licensing requirements.

15. Recording and Confidentiality in Live Programs

Live instructional sessions, whether conducted in-person or via video conferencing, may be recorded by PWI for educational and archival purposes. By participating, you consent to such recording. Participants are strictly prohibited from independently recording, photographing, or otherwise capturing any portion of a live session without the advance written consent of PWI and all other participants, in compliance with applicable state and federal wiretapping and privacy laws. Participant disclosures made during experiential exercises are considered confidential and shall not be shared outside the learning environment.
